While shareholders must still sign off on the plan, the proposal marks a significant shift in how the AI developer intends to balance founder authority with public market participation.

Governance at Anthropic remains bifurcated. While the founders would control most shareholder votes, the company’s Long-Term Benefit Trust retains the exclusive power to appoint a majority of the board of directors. Under the new plan, the number of board seats directly elected by the founders would increase from two to three. Additionally, employees would be issued a separate class of shares designed to act as a tie-breaker on specific corporate decisions, providing a layer of internal oversight that does not infringe upon the Trust’s board-selection mandate.

This governance structure comes as Anthropic moves toward a public listing, with recent reports suggesting a potential valuation reaching toward $2 trillion. The company, which reached a $965 billion valuation during its May Series H funding round, continues to navigate the complexities of its public benefit corporation status. Detailed terms regarding these share classes and their implications for public investors are expected to be fully disclosed in the company’s forthcoming IPO prospectus.
