Binance Invests $100 Million in Circle to Solidify USDC Partnership

The transaction involved the issuance of 1.24 million Class A common shares at a price of $80.84 per share. Under the terms of the deal, Binance is prohibited from selling, hedging, or transferring these shares for a period of two years, though it retains full voting rights. In exchange, Circle will provide monthly incentive fees tied to USDC balances held within Binance’s Modular Smart Contract Wallet infrastructure, while the exchange commits to ongoing promotional efforts for the asset.

This agreement effectively consolidates previous, more fragmented arrangements established in late 2024 and mid-2025. It marks a significant evolution in the relationship between the two firms, which has grown from simple trading support to complex financial integration. Binance has progressively expanded its use of Circle products, including the adoption of USYC as collateral for institutional derivatives and the integration of USDC deposits on Circle’s Arc network. For Circle, the deal mirrors its ongoing strategy of securing distribution through major industry players, similar to its recent three-year renewal with Coinbase.
