AlTi Global Sale Stalls Over Minority Shareholder Protections

The primary obstacle lies in the formidable rights granted to Allianz X, the venture capital arm of the German insurer, and Constellation Wealth Capital, led by Karl Heckenberg. These investors hold a 9.75 percent compounding PIK dividend alongside combined convertible preferred stock and warrants. According to SEC filings, these instruments function as an economic floor, allowing the minority holders to choose between receiving the value of their conversion into common stock or prioritizing their preferred liquidation preference during a change of control.

Legal experts suggest that these provisions effectively shield Allianz and Constellation from downside risk while preserving upside potential. The financial burden is substantial; consultants estimate the total cost to take the firm private could reach $887 million, significantly eclipsing the current equity value of roughly $460 million. With Allianz holding board seats and a critical role on the firm’s Transaction Committee, any buyer must navigate these layered, senior claims. Ultimately, a successful exit likely requires these minority stakeholders to accept a haircut on their returns to bridge the widening valuation gap between the firm’s asking price and market reality.
