Under the primary exemption, qualifying issuers could raise up to $75 million within a 12-month period, provided they submit to financial statement requirements and ongoing reporting obligations. A secondary, more limited pathway permits offerings of up to $5 million over a four-year span, designed primarily for smaller projects seeking a lighter regulatory burden. Both routes require issuers to provide investors with principles-based narrative disclosures, though the SEC emphasized that these exemptions are not blanket exclusions from federal securities law.

Beyond fundraising, the proposal introduces a conditional safe harbor that could allow a crypto asset to eventually shed its classification as an investment contract. This mechanism addresses the legal relationship surrounding a token rather than pinning the asset to a permanent securities designation. Furthermore, the SEC intends to preempt certain state-level registration requirements for transactions falling under these new federal rules. The proposal remains subject to a 60-day public comment period, and the agency has clarified that these measures operate independently of the pending Digital Asset Market Clarity Act currently stalled in the U.S. Senate.
