The company disclosed new employment agreements for Chief Legal Officer Jessica Jonas, Chief Business Officer Sagar Shah, and Chief Operating Officer Meg Nakamura. Under the terms filed in the updated Form S-4, these executives are eligible for annual bonuses and restricted stock units. Jonas leads the group with an initial equity award valued at $4.5 million, while Shah and Nakamura are set to receive approximately $2.8 million each. These awards are contingent upon shareholder approval and authorization from the board’s compensation committee.

These additions follow previously established packages for CEO Asheesh Birla, whose initial equity award reached $44 million, and CFO Matt Frymier, with a $5.6 million award. The governance structure is nearing completion as the firm prepares to trade under the ticker XRPN. Backed by major industry players such as Ripple, SBI Holdings, and Kraken, the venture aims to provide U.S. investors with indirect exposure to XRP through a corporate treasury.

However, market volatility presents a significant hurdle. Recent declines in the price of XRP have reduced the value of Evernorth’s holdings from the projected $1 billion to roughly $640 million. The firm also reported a $38.4 million impairment over the last four months, underscoring the risks inherent in holding digital assets. As the SEC continues its review of the merger disclosures, the company has bolstered its board with figures like Ripple’s Stuart Alderoty and OpenAI Foundation CFO Robert Kaiden, while expanding its outreach to the Japanese market.
