US District Judge Araceli Martínez-Olguín issued the order after determining that the plaintiffs, led by California Attorney General Rob Bonta, provided substantial evidence that the combined entity would dominate theatrical distribution. Under the new agreement, the companies are barred from closing the transaction until five days after a trial concludes or until June 1, 2027, whichever comes first.

While critics of the merger, including activists and industry advocates, celebrated the delay as a major win for creative freedom and independent journalism, Paramount remains defiant. A spokesperson for the company framed the pause as a strategic opportunity to prove the deal’s merits in court, dismissing the plaintiffs’ market definitions as disconnected from modern industry realities. The merger has drawn significant scrutiny due to the involvement of CEO David Ellison and concerns regarding his political ties and management of media assets like CBS News and CNN.
