While Worldcoin’s original whitepaper envisioned a broad distribution of tokens among verified human users, Grayscale warns that a small cohort of early adopters currently holds the vast majority of the circulating supply. Although public blockchain data suggests some of these large addresses function as bridges between Ethereum and World Chain—meaning they represent pooled assets rather than single entities—the firm maintains that the current distribution remains far more concentrated than the project’s long-term goals suggest.

Beyond ownership, the filing casts doubt on the current state of decentralization within the World Network. Governance remains largely directed by the World Foundation, with the mechanisms intended to facilitate community-led decision-making described as new and untested. The document further identifies operational vulnerabilities, noting that World Chain continues to rely on a centralized sequencer, while the hardware used for biometric verification is primarily manufactured under the control of Tools for Humanity. As Grayscale seeks SEC approval to list the product on Nasdaq under the ticker GWLD, these disclosures provide a stark counter-narrative to the project’s claims of building a transparent, user-governed protocol.
